Against four consecutive earnings beats and 23.3% trailing revenue growth to $690M, CFO Richard Wong filed a 148,015-share sale at $28.61 on August 18, $4.23M in a single day, alongside same-day sales by CEO Compton Charles Lacey III, CTO Artur Bergman, and Go-to-Market President Scott Lovett. Lacey then filed five more transactions through September 8, Bergman six more through September 9, all at prices that fell with the stock. Not one insider purchased.

A Balance Sheet That Complicates the Story

Three corporate filings in August bracketed the insider selling. On August 6, Fastly submitted an S-3ASR shelf registration, a standing authorization to issue unspecified securities. Eleven days later, an 8-K disclosed both a Material Definitive Agreement and a new Material Direct Financial Obligation, adding complexity to a balance sheet carrying $400M in debt against $340M in cash.
