$1 Billion Raised Against $1 Million in Revenue

Oklo generated $1mn in trailing revenue while raising $1 billion from shareholders, a 1,000x gap that defines the entire investment thesis: not current earnings, but future microreactor deployment. At $36.22, the market had already priced in that wager. The offering asks new capital to join it.

Free cash flow ran at -$239mn for the trailing period. At that burn rate, the raise extends runway by roughly four years. That reframes the dilution: this is a structured survival and scaling raise timed ahead of first commercial deployment, not an opportunistic share sale into strength.

Short Interest at 19.6% Is Institutional, Not Retail

Nearly one in five shares is sold short. That is not retail frustration. It is systematic institutional skepticism built on the same arithmetic as above: $36 per share for a company earning that revenue. A credible use-of-proceeds release could trigger a short squeeze against that crowded position. Two days before the offering announcement, Piper Sandler endorsed Oklo's "bankable by design" business model. Then, in splitting its nuclear sector coverage, it sent Oklo, NuScale Power, and X-Energy each down roughly 5% in a single session. The Oklo-specific view did not change. The sector-level action did. Investors in individual names took collateral damage from a portfolio-level call.

That dynamic names a structural risk specific to early-stage nuclear: the coverage universe is thin enough that one bank's sector rating moves every name together, regardless of company fundamentals. It is a correlation problem, not a Oklo problem.

The $50 Analyst Spread Has One Number That Breaks the Bull Case

Piper Sandler's bull target of $72 against a bear case of $22 brackets the current price of $36.22 closer to the floor than the ceiling. The $50 spread is the widest kind of admission: nobody knows the right answer yet. The number that closes it is the first commercial deployment date. If the S-1 use-of-proceeds ties capital to a specific project milestone, the bull case at $72 gains structural weight. If it reads as general operating capital, the bear at $22 gets better footing.
