RH CEO's $20M Exit Faces Test at Thursday Earnings

RH (RH) enters Thursday's earnings report with a credibility question the income statement alone cannot answer: its Chairman and CEO sold $20.7 million in stock over three days in July at prices the market has not revisited since, while a director bought at similar prices the week before. Short interest stands at 53.1% of the float.

Friedman Sold Into the First Beat

RH sells luxury furniture, lighting, and textiles through galleries in six countries, with hospitality and trade channels supplementing its retail footprint. Per an 8-K filed June 11, Q1 FY2026 produced the company's first quarterly beat after three consecutive misses, with EPS of negative $1.97 against an estimate of negative $2.07. That beat coincided with Friedman's most aggressive selling period: $6.64 million on July 6 alone, $5.07 million more the same day, and nine additional transactions over July 7 and 8 down to $154.71. The aggregate, per Form 4 filings, was approximately $20.7 million, executed at prices the market has not returned to.

Alberini's Dissent

One week before Friedman's sales, director Carlos Alberini spent $1.83 million buying shares at $158.50 to $161.34. Both Alberini and Friedman paid above the current price, but they drew opposite conclusions. TD Cowen reiterated a Buy, citing an "Estates launch" as the specific product-line catalyst, a bull case built on a single product initiative rather than the 1.7% year-over-year revenue decline in the trailing period. RH carries $285 million in free cash flow against $4.02 billion in debt; investors who want to stress-test the equity against revenue scenarios can run the numbers in the DCF calculator. The short side disagrees with all of them: 53.1% of the float is short.

The Print That Decides

RH shares at $146.61 sit below every price Friedman received over July 6 to 8. The $4.02 billion debt load against just $0.05 billion in cash leaves no margin for a prolonged revenue slide. The forward P/E of 16.1x, set against a consensus target of $178.06, prices in a recovery that has not yet materialized in the trailing numbers. Thursday's Q2 print will clarify whether the Q1 beat was a turning point or a single quarter's noise, and whether the Estates initiative generates enough detail to sustain TD Cowen's thesis.
